TERMS OF SERVICE

1. SERVICE AGREEMENT

WS Telecom Inc. ("Company", "We", "Us", "Our") provides network services including Internet Access, Cloud Platform, and IPv4/IPv6 space ("Services") to customers ("Client", "You", "Your").

By ordering or using Services, Client agrees to be bound by these Terms of Service, our Acceptable Use Policy, and applicable laws.

2. SERVICE DELIVERY

  • Uptime Guarantee: 99.9% monthly availability (see SLA)
  • Support: 24/7 technical support via email/ticket system
  • Network: Multiple PoPs (Europe, USA, Asia, Australia, Brazil)
  • Billing: Monthly or custom cycles; due upon invoice

3. ACCEPTABLE USE

Client shall not:

  • Violate Acceptable Use Policy (attached)
  • Transmit malware, ransomware, or unauthorized access tools
  • Conduct DDoS, spam, phishing, or fraudulent activities
  • Violate laws of United States or any jurisdiction
  • Circumvent geographic restrictions or content blocks
  • Resell/redistribute Services without written consent

Violation consequences: Service suspension/termination without refund.

4. PAYMENTS & BILLING

  • Invoices due within 14 days of issue
  • Automatic renewal unless cancelled 30 days before expiration
  • Refunds: None after service activation (except SLA credits)
  • Late payment: 1.5% monthly interest; service suspension after 30 days

5. INTELLECTUAL PROPERTY

Client retains ownership of data stored/transmitted. Company claims no IP rights to Client data. Company IP (software, infrastructure) remains proprietary.

6. LIMITATION OF LIABILITY

Company liability capped at amount paid by Client in preceding 30 days. Company not liable for indirect, incidental, punitive damages, or lost revenue. Some jurisdictions prohibit liability caps; liability there capped at statutory minimum.

7. INDEMNIFICATION

Client indemnifies Company against claims arising from Client's use of Services, including regulatory fines, legal fees, and damages.

8. DATA PROTECTION

  • Data Residence: EU (Frankfurt, London), USA (multiple), Asia, Australia, Brazil per Client order
  • GDPR Compliance: DPA available; Company acts as Processor where applicable
  • CCPA Compliance: California residents' privacy rights respected
  • Data Deletion: Client data deleted within 30 days of service termination

9. TERMINATION

  • By Client: Anytime with 7 days' notice; no refund for remainder
  • By Company:
  • For AUP violation: Immediate
  • For non-payment: 30 days' notice
  • For legal order: Immediate

10. DISPUTE RESOLUTION

  • Informal: Contact us within 30 days of dispute
  • Governing Law: State of Wyoming, USA
  • Venue: State or Federal courts in Wyoming
  • Arbitration: Either party may elect binding arbitration per AAA rules

11. MODIFICATIONS

Company may modify these Terms with 30 days' notice. Continued service use = acceptance. Material changes (price, core features) require explicit consent.

12. SEVERABILITY

If any clause is invalid, remaining clauses stay in effect.
